The ABCs of CAA Bylaws
Clear, authoritative, and up-to-date bylaws are a cornerstone of good governance. The CSBG Organizational Standards emphasize the importance of bylaws and the integral role that an attorney plays in ensuring that a CAA’s bylaws are up to par. In this session, we will discuss the laws specifically applicable to a CAA’s bylaws and what provisions the bylaws must contain to ensure compliance with key requirements of those laws. We will discuss how to comply with CSBG and Head Start board composition requirements and answers to questions such as: How do an organization’s bylaws relate to its articles of incorporation, board resolutions and agency wide policies? What provisions should CAAs have in their bylaws? How should CAA bylaws deal with issues such as board size, term limits and conflicts of interests?
Presenters Bios:
Savanna Arral, Esq. Savanna Arral is a Staff Attorney at CAPLAW. She advises community action agencies nationwide on legal matters including corporate governance, federal government grant compliance, and tax-exempt law. Prior to joining CAPLAW, Savanna was an associate at Ropes & Gray LLP, where she advised public and private companies as well as institutional and strategic investors on a range of transactional and compliance matters related to employment, benefits, and tax issues. She also developed a pro bono practice focused on immigration, including naturalization and asylum. Savanna previously worked as a legal intern with the Massachusetts Attorney General’s Office and is a graduate of Harvard University and Boston College Law School.
Emily Center-Bregasi, Esq. Emily Center-Bregasi is a Staff Attorney at CAPLAW. She advises community action agencies nationwide on legal matters including corporate governance, federal government grant compliance, and tax-exempt law. Prior to joining CAPLAW, Emily was a corporate law associate at Cooley LLP, where she advised public and private companies as well as institutional and strategic investors on a range of general corporate matters and transactions. She also represented individuals seeking asylum and survivors of human trafficking. Emily previously worked as a legal intern with CAPLAW and is a graduate of Manhattan College and Boston University School of Law.
